How to register a Limited Liability partnership?

A Limited Liability partnership may be registered as per the procedure explained below.

1) User Registration - Register yourself on the website of Ministry of Corporate Affairs (MCA). For user registration, you can take help of Company secretary and other authorized persons. Example of the website is www.llp.gov.in. This website can be accessed through the website of MCA. On the homepage of the website, you will find the option of Register and you need to select it.

2) Digital Signature Certificate - Partner/Designated Partner of the proposed LLP whose signatures are to be affixed on the e-forms has to obtain class 2 or class 3 Digital Signature Certificate(DSC) from any authorized certifying agency, and details are available on the home page of the LLP portal.

3) Obtain Designated Partners Identification number (DPIN) - All the partners of proposed LLP have to obtain Designated Partners Identification number. DPIN may be applied from the website of Ministry of Corporate Affairs.

4) Reservation of name - In the next step, you have to reserve the LLP name. After log in to the LLP portal, you have to open FiLLip form for reservation of name and fill in the details. Select the name of the proposed LLP. Any partner or designated partner in the proposed LLP may submit LLP RUN from. A minimum of one and a maximum of 2 names choices must be submitted to the MCA. Name of the Proposed LLP should be a unique one. Subject to availability, naming guidelines and MCA processing time, name approval can be obtained in 5 to 7 working days. The name will be reserved by the Registrar.

​​​​​​​5) Incorporation of LLP - After reservation of name you have to submit FiLLip from along with required documents as discussed below. You are required to pay the registration fee as per the slab prescribed under LLP Rules,2009. On submission of complete documents, Registrar after satisfying himself about compliance with relevant provisions of the LLP Act will register the LLP and will issue a registration certificate. In case of rejection of registration applicant, you can re-submit the application. You can check the status of your application by logging on to the portal.

6) LLP agreement - After incorporation of LLP, an initial LLP agreement has to be filed within 30 days of the incorporation of LLP.

Documents required for LLP registration

List of the documents required for LLP registration is given below:

1) PAN card of all the partners
2) Partners address proof such as Aadhar card/Voter ID/Passport/Driving license of all the partners
3) Latest photograph of all the partners
4) Business Address proof such as the latest electricity bill, telephone bill of the registered office address.
5) No objection certificate of the owner
6) Rent agreement of the office address
